Definitions

• Affiliate: The individual or entity participating in the Affiliate Program to promote Company’s products and services.
• Affiliate Account: The account established upon successful application, used to access tools, track performance, and receive payments.
• Affiliate Program: A structured partnership where Affiliates promote the Company’s websites using unique referral links and marketing resources provided by the Company.
• Commission: Earnings calculated based on performance, either as a percentage of Net Gaming Revenue (NGR) or as fixed CPA payouts for specific actions.
• Net Gaming Revenue (NGR): Revenue generated from referred customers, calculated after deducting bonuses, payouts, and adjustments for fraud-related activities.

Joining the Program

To join, Affiliates must:

1. Submit a detailed application and agree to these Terms. All information provided must be accurate and current.
2. Provide verifiable personal or business details, including proof of identity and payment method.
3. Maintain the confidentiality of login credentials to prevent unauthorized account access.
4. Refrain from self-registration or generating traffic through unethical means, such as fraudulent clicks or incentivized sign-ups.

Applications undergo a thorough review process, and the Company reserves the right to accept or reject applicants at its sole discretion. Affiliates are encouraged to ensure their websites and promotional methods align with the Company’s ethical standards to increase approval chances.

Marketing Guidelines

Affiliates are expected to conduct marketing activities responsibly and in compliance with applicable laws. Specifically, Affiliates must:

• Use only approved marketing materials provided through the Affiliate dashboard.
• Ensure all content adheres to legal standards, including GDPR and local advertising regulations.
• Avoid targeting restricted markets or unsuitable audiences, such as minors or regions where gambling is prohibited.
• Abstain from offering unauthorized incentives, cashback deals, or misleading promotional schemes.

Marketing activities should uphold the integrity and reputation of the Company’s brands. Affiliates are also encouraged to promote responsible gaming, highlighting support resources for individuals with gambling concerns.

Payment Terms

1. Commission Structure: Affiliates earn based on agreed terms, which may include a revenue share model or CPA payouts.
2. Payment Frequency: Commissions are processed monthly, ensuring timely payments no later than the 15th of the subsequent month.
3. Minimum Withdrawal Thresholds:
   • E-wallets: €20.
   • Bank transfers: €300.
4. Adjustments: The Company reserves the right to correct any errors in commission calculations, recover overpayments, or adjust payments for chargebacks and fraud-related deductions.

Payment methods are flexible, including options such as bank transfers, Skrill, and Neteller. Affiliates are encouraged to update their payment details promptly to avoid delays.

Prohibited Activities

To maintain program integrity, Affiliates must not:

1. Engage in fraudulent activities, including but not limited to creating fake accounts, spamming, or generating artificial traffic.
2. Use the Company’s trademarks, logos, or branding without explicit authorization.
3. Bid on restricted keywords or register domains that mimic the Company’s brands.
4. Promote the program in territories where gambling activities are illegal or restricted by local regulations.

Violations of these guidelines may result in account suspension, forfeiture of commissions, and potential legal action.

High-Roller Policy

In cases where referred customers generate significant negative revenue (€7,000 or more) in a single month, the negative balance may be carried forward. This balance will be offset against future commissions from the same customer until cleared. This policy ensures fairness while managing risk associated with high-stakes players.

Confidentiality

Affiliates are entrusted with sensitive information to facilitate their participation in the program. They must:

1. Treat all Company-provided data as strictly confidential.
2. Use such information exclusively for program-related purposes.
3. Obtain prior written consent before publicizing their association with the Company.

Breach of confidentiality obligations may result in immediate termination and legal consequences.

Termination

1. Either party may terminate this agreement with 30 days’ written notice.
2. Termination may occur immediately in cases of breach, unethical practices, or fraudulent activities.
3. Upon termination, Affiliates must:
   • Halt all promotional activities involving the Company’s brands.
   • Remove all marketing materials from their platforms.
   • Forfeit commissions for post-termination referrals.

Termination ensures that inactive or non-compliant affiliates do not continue to benefit from the program while maintaining the Company’s reputation.

Liability and Indemnification

The Company assumes no responsibility for indirect, incidental, or consequential damages. Affiliates agree to indemnify and hold the Company harmless from losses, damages, or legal claims arising from breaches of these Terms or unethical practices.

Miscellaneous

1. Governing Law: This Agreement is governed by the laws of Malta.
2. Force Majeure: Neither party shall be held liable for delays caused by events beyond their control, such as natural disasters or technological failures.
3. Severability: If any clause is deemed invalid, the remaining Terms shall remain enforceable.
4. Modifications: The Company may update these Terms periodically. Affiliates will be notified of significant changes, which will take effect upon publication.

The Affiliate Program Terms aim to create a transparent, ethical, and mutually beneficial partnership. Affiliates are encouraged to periodically review these Terms to ensure compliance and optimize their earning potential.
